By submitting this form, you ("Party B") agree to enter into a Mutual Non-Disclosure Agreement with Eight Bit Studios, LLC ("Party A") to explore a potential business relationship and exchange confidential information ("Proprietary Information"). This Agreement is effective as of the date of submission ("Effective Date").
Both parties agree to keep Proprietary Information confidential, not disclose it to third parties, use it only to evaluate the relationship, and ensure any employees or agents are similarly bound.
These obligations do not apply to information that becomes public (not through the fault of the Receiving Party), was known or independently developed before disclosure, is lawfully received from others, or must be disclosed by law with notice to the Disclosing Party if allowed.
All information is provided "as is," without warranties. Each party is responsible for assessing its value. This Agreement does not require either party to proceed with a relationship or to disclose any information.
Upon request, either party will return or destroy all Proprietary Information received from the other.
This Agreement is governed by the laws of Illinois. It cannot be assigned or amended without written consent. If any part is found invalid, the rest remains in effect.
